Jessica Opiyo is an Advocate of the High Court of Kenya, a member of the Law Society of Kenya and the East African Law Society. Experience

  • Advised on structuring and execution of capital raises and commercial paper programs, including a KES 200 million issuance for a technology company, covering regulatory compliance, investor documentation, security perfection, and taxation considerations.
  • Acted on buy-side and sell-side transactions, conducting legal due diligence, drafting and negotiating share purchase and shareholders’ agreements, and advising on regulatory and competition approvals.
  • Involved in the structuring and establishment of a hydrogen power plant in Kenya, including regulatory review, project agreements, government support documentation, and land use arrangements.
  • Supported the establishment and listing of a Development Real Estate Investment Trust (D-REIT), including preparation of the Trust Deed, regulatory compliance, due diligence, structuring advice, and review of listing documentation.
  • Provided ongoing legal support on corporate governance, restructuring, shareholder reorganizations, and compliance with the Registrar of Companies, including drafting of resolutions, amendments, and filings.
  • Conducting due diligence on joint venture partners, including corporate and financial standing, to ensure compliance with regulatory and contractual obligations.
  • Drafting and reviewing various commercial agreements including shareholder agreements, joint venture agreements, and related documentation to align with client objectives.
  • Advised on the legal and regulatory framework governing joint ventures in Kenya.
  • Undertaking and leading Data Protection Impact Assessments including conducting trainings to various organizations on data privacy for organizational compliance with the Data Protection Act, 2019.
